PROPERTY DESCRIPTION:

AUCTION TERMS & CONDITIONS:
PROCEDURE: The property will be offered in 11 individual tracts, any combination of tracts or as a total 111 acre unit. There will be open bidding on all tracts and combination during the auction as determined by the Auctioneer. Bids on tracts, tract combinations and the total property may compete. The property will be sold in the manner resulting in the highest total sale price, subject to the confirmation of the seller.
DOWN PAYMENT: 10% down payment on the day of auction for individual tracts or combinations of tracts. The down payment may be made in the form of cash, cashier's check, personal check, or corporate check. YOUR BIDDING IS NOT CONDITIONAL UPON FINANCING, so be sure you have arranged financing, if needed, and are capable of paying cash at closing.
ACCEPTANCE OF BID PRICES: All successful bidders will be required to enter into Purchase Agreements at the auction site immediately following this close of the auction. All final bid prices are subject the Sellers' acceptance or rejections.
EVIDENCE OF TITLE: Sellers shall provide an owner's title insurance policy in the amount of the purchase price. Seller agrees to provide merchantable title to the property subject to matters of record, general conditions of title, and similar or related matters. All tracts are sold "AS IS."
DEED: Seller shall provide appropriate Deed(s). Real Estate sold subject to all rights of way, legal highways, leases, and easements of public record.
PERIMETER DRAIN TILE EASEMENT: Easement access will be provided over tracts in this property for perimeter drain tile outlets if perimeter drain tile outlets beyond each individual tract are required by the Henry County Health Department.
CLOSING: Closing shall take place as soon as applicable closing documents are completed.
POSSESSION: Possession of the land at closing.
REAL ESTATE TAXES: Seller will pay or credit to Buyer the 2007 real estate taxes payable in 2008 based on CAUV. Buyer is responsible for 2008 taxes due in 2009 and thereafter. Buyer is responsible for any CAUV Recoupment. Tracts of 10 acres and under will have CAUV Recoupment.
ACREAGE: All tract acreages, dimensions, and proposed boundaries are approximate and have been estimated based on current legal descriptions and/or aerial photos.
SURVEY: The Seller shall provide a new survey where there is no existing legal description or where new boundaries are created by the tract divisions in this auction. Any need for a new survey shall be determined solely by the Seller. Seller and successful bidder shall each pay half (50:50) of the cost of the survey. The type of survey performed shall be at the Seller's option and sufficient for title insurance. Closing prices shall be adjusted to reflect any difference between advertised and surveyed acres if a new survey is determined to be necessary by the Seller on all tracts other than those advertised as under 10 acres. Combination purchases will receive a perimeter survey only. All parcels are subject to county Regional Planning Commission approval.
PROPERTY INSPECTION: Each potential Bidder is responsible for conduction, at their own risk, their own independent inspections, investigations, inquiries, and due diligence concerning the property. Inspection dates have been scheduled and will be staffed with auction personnel. Please feel free to inspect the land at any other time.
FSA INFORMATION: Contact the Auction Company for FSA Bases. Note: Certain portions of the property are subject to a Conservation Reserve Program (CRP) contract with the US Department of Agriculture/Farm Serice Agency. Buyer of the property or any portion thereof shall take the property subject to said CRP contract and shall assume responsibility to continue compliance with the CRP contract and shall assume responsibility and indemnify Owner for all repayment of benefits, including penalty and interest, in the event of non-compliance. Note: The drainage pump (as is where is and without warranty) and electric service shall transfer to the buyer of the parcel upon which it is situated (Tract 10).
EASEMENTS: Subject to any and all existing easements.
