REAL ESTATE AUCTION TERMS & CONDITIONS:
PROCEDURE: Tracts 1 through 5 will be offered in individual tracts, in any combination of these 5 tracts, or as a total property (subject to swing tract limitations). There will be open bidding on all tracts and combinations during the auction as determined by the Auctioneer. Bids on tracts, tract combinations, and the total property may compete. The bidder(s) whose bids result in the highest aggregate sale price will sign purchase agreements.
DOWN PAYMENT: 10% of the Contract Purchase Price as down payment on the day of auction with the balance in cash at closing. YOUR BIDDING IS NOT CONDITIONAL UPON FINANCING, SO BE SURE YOU HAVE ARRANGED FINANCING, IF NEEDED, AND ARE CAPABLE OF PAYING CASH AT CLOSING. All successful bidders will be required to enter into purchase agreements at the auction site immediately following the close of the auction. The property will sell at Absolute Auction without reserve. DEED: Seller will convey by Warranty Deed(s).
EVIDENCE OF TITLE: The Owner agrees to furnish a Title Insurance Policy. A preliminary commitment will be available for review prior to the auction.
CLOSING: The closing shall take place within 15 days after delivery to the Buyer an applicable title commitment and necessary closing documents.
POSSESSION: Possession shall be granted at closing.
MINERAL RIGHTS: The Sellers shall convey 100% of their interest in all mineral rights.
REAL ESTATE TAXES: The 2009 calendar year taxes payable in 2010 shall be paid by the Seller at closing. The 2010 taxes due in 2011 shall be paid by the Buyer. Estimated taxes are $9,635 annually.
ACREAGE AND TRACTS: All acreages are approximate and have been estimated based on current legal descriptions and/or aerial photos. Any corrections, additions, or deletions will be made known prior to the auction.
SURVEY: Owner shall provide a survey for any tract where there is no existing legal description or where new boundaries are created by the tract division for the auction. Any need for a new survey shall be determined solely by the Owner. If a new survey is determined to be necessary, the Owner and the Buyer(s) shall share the cost of the said surveys (50:50). The type of survey prepared shall be determined by the Owner so long as it is sufficient for issuance of the title insurance policy. Closing prices shall be adjusted to reflect any difference between advertised and surveyed acres on any tracts or combination of tracts except those being 10 acres or less or any combination including Tract 4 Dairy Operation.
PROPERTY INSPECTION: Each potential Bidder is responsible for conducting, at their own risk, their own independent inspections, investigations, inquiries, and due diligence concerning the property. Inspection dates have been scheduled and will be staffed with auction personnel. Owner and Auction Company disclaim any and all responsibility for Buyers safety during any physical inspection of the property.
AGENCY: Schrader Auction Co. and its representatives are exclusive agents of the Seller. There shall be no subagency.
