TRACT DESCRIPTIONS

Tract 1: 41.5± ac mostly all tillable with 8+/- acres currently enrolled in CRP filter strips expiring fall of 2015. This Tract is productive bottom land consisting of mostly Patton silty Clay loam, Sandy substratum. There is an open ditch along the north and west boundaries providing drainage.

Tract 2: 32.5± ac of mostly all tillable productive bottom land consisting of Patton silty loams and Martinsville clay loam with 3+/- acres currently enrolled in CRP filter strips expiring fall of 2015. Combine with tract 1 and have 74+/- acres of highly productive land with easy access to open ditch for drainage.

Tract 3: 39± ac of woods with a 50 ft. owned access along the south edge of tract 4 to CR 200 E. PROCEDURE: The property will be offered in 7 individual tracts (subject to swing tract limitations), any combination of tracts and as a total 160-acre unit. There will be open bidding on the tracts, combinations, and the total during the auction as determined by the Auctioneer. Bids on tracts, tract combinations and the total property may compete.

DOWN PAYMENT: 10% down payment on the day of auction. The down payment may be made in the form of cashiers check, personal check, or corporate check. YOUR BIDDING IS NOT CONDITIONAL UPON FINANCING, so be sure you have arranged financing, if needed, and are capable of paying cash at closing.

ACCEPTANCE OF BID PRICES: All successful bidders will be required to enter into Purchase Agreements at the auction site immediately following the close of the auction. All final bid prices are subject to the Sellers acceptance or rejection.

EVIDENCE OF TITLE: Seller shall provide an owners title insurance policy in the amount of the purchase price.

DEED: Seller shall provide Warranty Deed(s).

CLOSING: The balance of the purchase price is due at closing, which will take place within 15 days of presentation of insurable title. Costs for an insured closing shall be shared 50:50 between Buyer(s) and Seller.

POSSESSION: Possession of Tracts 5 & 7 will be immediately after closing. Possession of Tract 6 will be one week after closing. Possession of all other tracts will be after the 2013 crop is harvested.

REAL ESTATE TAXES & ASSESSMENTS: Seller will pay the 2013 taxes due in 2014. Buyer(s) will pay all taxes due thereafter.

PROPERTY INSPECTION: Each potential Bidder is responsible for conducting, at their own risk, their own independent inspections, investigations, inquiries and due diligence concerning the property. Inspection dates have been scheduled and will be staffed with auction personnel. Further, Seller disclaims any and all responsibility for Bidders safety during any physical inspection of the property. No party shall be deemed an invitee of the property by virtue of the offering of the property for sale.

ACREAGE: All tract acreages, dimensions, and proposed boundaries are approximate and have been estimated based on current legal descriptions and/or aerial photos.

SURVEY: The Seller shall provide a new survey where there is no existing legal description or where new boundaries are created by the tract divisions in this auction. Seller and successful bidder shall each pay half (50:50) of the cost of the survey. The type of survey performed shall be at the Sellers option and sufficient for providing title insurance. Closing prices shall be adjusted to reflect any difference between advertised and surveyed acres, except on Tract 6 or any combination of tracts including Tract 6.

CRP: Buyer(s) of CRP land agree to keep the CRP land in the program for the contract term. Immediately after closing Buyer(s) shall sign all appropriate documents at FSA required to transfer the CRP land. The CRP payments will be prorated to the day of deed recording, using the fiscal year of October 1 - September 30. The Buyer will receive all the responsibility for the maintenance of the CRP land in the future. If the Buyer removes any acres from the CRP contract they are solely responsible for repayment of received payments, interest, and penalties. CRP program pays $1,425.00 annually on 11.4 acres of grass, filter strips on Tracts 1 & 2.
